These Terms of Use ("Terms") govern the use of the websites, applications and services operated by D-ICE Engineering SAS ("D-ICE", "we", "us"). By creating an account or using any of our products, you agree to these Terms.

If you are acting on behalf of a company, you confirm that you are authorised to bind it; the term "you" then refers to both yourself and that company.

2. Scope of services

These Terms cover:

  • the institutional website dice-engineering.com;
  • the website squid-sailing.com;
  • all applications developed by D-ICE such as Squid (web, iOS, Android, PC), TACTiCS, etc.;
  • the associated APIs, SDKs and documentation.

These Terms constitute the default contractual framework applicable in the absence of any other agreement. They do not prevail over commercial contracts, framework agreements or specific terms negotiated between D-ICE Engineering and its clients. In the event of any conflict, any specific or negotiated contract prevails over these Terms.

3. Eligibility and accounts

The provisions of this section apply only to products and services that offer the creation of a user account. Certain products, in particular those deployed on board vessels or in professional environments, are governed by specific contracts and are not subject to these provisions.

Where a product offers the creation of an account, you must be at least 16 years old to do so. You agree to provide accurate and up-to-date information at registration.

You are responsible for the confidentiality of your credentials and for all activity carried out from your account. Report any unauthorised access to security@dice-engineering.com.

Where the application offers it, you may use "Sign in with Google" to create or access your account. Use of the Google APIs is also subject to Google's Terms of Service and our Privacy Policy available at https://www.dice-engineering.com/politique-de-confidentialite, which details the limited Google scopes we request (openid, email, profile).

Certain applications, including Squid, may request access to your device's geolocation (GPS) in order to provide navigation, positioning or map display features. This access is explicitly requested by your operating system and remains under your control; you may revoke it at any time in your device settings. Location data collected is processed in accordance with our Privacy Policy available at https://www.dice-engineering.com/politique-de-confidentialite.

4. Acceptable use

You agree not to:

  • use the services in violation of any applicable law, regulation or maritime safety rule;
  • attempt to gain unauthorised access to our systems, infrastructure or data;
  • reverse-engineer, decompile or extract the source code of our software, except to the extent strictly permitted by law (in particular interoperability as provided for by Directive 2009/24);
  • introduce malware, conduct denial-of-service attacks, or scrape our services beyond the intended rate limits;
  • impersonate another person or misrepresent your affiliation;
  • use the services to harass, defame or harm others;
  • use Google user data (the data you authorise us to receive when you choose "Sign in with Google") for any purpose other than the use of D-ICE products;
  • submit, within the collaborative reporting system, false, misleading or malicious information likely to compromise navigation safety or mislead other users; any report must be based on your own real-time observation;
  • use the marine mammal data available in the services for purposes contrary to applicable regulations, including European species protection legislation (Habitats Directive 92/43/EEC), international conventions (CITES, IWC) and any relevant national legislation; any use intended to locate, disturb, capture or harm marine mammals is strictly prohibited.

We may suspend or terminate your account without notice in the event of a material breach of this section.

5. Subscriptions, pricing and payment

The provisions of this section apply to products and services subscribed to directly by the user. Where a commercial contract is concluded between D-ICE Engineering and a professional client, the invoicing, payment and renewal terms are governed exclusively by that contract.

Certain products are offered as paid subscriptions. The applicable price, billing frequency and renewal terms are presented to you before you confirm your purchase. Neither we nor our payment provider Stripe Payments Europe Ltd. store full card numbers.

Subscriptions renew automatically unless cancelled before the end of the current period. You may cancel at any time from your account settings; the subscription remains active until the end of the paid period. No refund is due for unused portions of a paid period, except as required by law.

We may change prices for future periods with at least 30 days' notice; if you refuse the change, you may cancel before it takes effect.

6. Intellectual property

All intellectual property rights in the services — software, databases, designs, trademarks and documentation — belong to D-ICE Engineering SAS or its licensors. We grant you a non-exclusive, non-transferable and revocable licence to use the services, strictly for the purpose for which they are provided and for the duration of your subscription or use.

Content you upload (routes, polars, vessel data, support attachments) remains your property. You grant D-ICE a worldwide, royalty-free licence to host, reproduce and process such content solely for the purpose of operating and improving the services for your benefit.

Third-party trademarks (Google, Apple, Stripe…) belong to their respective owners and are mentioned for informational purposes only.

7. Privacy and data from Google APIs

The processing of personal data is described in our Privacy Policy available at https://www.dice-engineering.com/politique-de-confidentialite, which forms an integral part of these Terms.

With regard to data received from Google APIs (Google user data), D-ICE Engineering confirms that its use and transfer comply with the Google API Services User Data Policy, including its "Limited Use" requirements. Google user data is used only to provide and improve user features of Squid and Tactics-mobile; it is not used for advertising purposes, sold to data brokers, used for credit decisions, or used to train AI models.

8. Availability, maintenance and changes

We endeavour to ensure reasonable continuity of the services, without guaranteeing uninterrupted availability. Planned maintenance operations are announced in advance where possible. We may update, deprecate or remove features at our discretion.

The institutional website, free features and beta versions are provided "as is", without warranty of any kind.

9. Operational use disclaimer (maritime use)

Several of our products are decision-support tools designed for navigation, route planning, performance analysis or vessel control. They do not replace the judgement of a master, officer of the watch, competent engineer, or any user responsible for a recreational vessel. The user remains solely responsible for the safety of navigation and compliance with applicable maritime regulations (COLREGs, IMO conventions, flag State rules, regulations applicable to recreational navigation). To the fullest extent permitted by law, D-ICE excludes its liability for any decision made on the basis of data or recommendations produced by the services.

For certified products (e.g. approved ECDIS), the certification document specifies the approved conditions of use and prevails over this general clause.

10. Limitation of liability

Except as otherwise provided in a specific contract concluded with D-ICE Engineering, and to the fullest extent permitted by applicable law:

  • D-ICE disclaims all liability in connection with the use of the services;
  • no amount may be claimed from D-ICE on any basis whatsoever, whether for direct, indirect, consequential, incidental or punitive damages, or for loss of profit, revenue, data or business opportunity.

Nothing in these Terms limits liability that cannot be excluded by law (including gross negligence, fraud, wilful misconduct, personal injury resulting from negligence, or breach of a fundamental consumer protection right).

11. Indemnification

You agree to indemnify D-ICE against any third-party claim arising from (a) your breach of these Terms, (b) your unlawful use of the services, or (c) the infringement by content you have uploaded of a third party's rights.

12. Termination

You may stop using the services and close your account at any time from your account settings or by writing to support@dice-engineering.com. We may suspend or terminate your account in the event of a material breach of these Terms, non-payment, or if required by law. Upon termination, our licence over your content ends within a reasonable time necessary for its deletion, except for data we are legally required to retain (see the retention schedule in the Privacy Policy).

13. Changes to the Terms

We may modify these Terms from time to time. The "Last updated" date at the top of the page indicates the latest revision. Material changes are notified by email to active account holders at least 30 days before they take effect; continued use of the services after that date constitutes acceptance.

14. Governing law and jurisdiction

These Terms are governed by French law. Any dispute that cannot be resolved amicably shall be brought before the competent courts of Nantes (France), subject to any mandatory consumer protection rules that would confer jurisdiction on another court.

Consumers may also use the European online dispute resolution platform at https://ec.europa.eu/consumers/odr.
